This Cook Host Agreement ("Agreement") is between FOODI LLC, a California limited liability company ("FOODI"), and you, the home cook listing food on the FOODI platform ("Cook" or "you"). It adds to the FOODI Terms of Service, which also apply to you. If the two conflict on a cook-specific matter, this Agreement controls. You accept this Agreement when you check the attestation box during cook sign-up.
You run your own independent food business. You are not an employee, agent, partner, joint venturer, or franchisee of FOODI. You control your menu, recipes, prices, portions, hours, and methods. FOODI does not supervise your cooking, pay you wages, or provide benefits or workers' compensation. You are free to sell food through other channels.
When you sign up, and each time you list or sell food, you confirm that you hold and will keep current every permit, registration, certificate, and inspection your state, county, and city require. You will sell only food your law allows, within every limit it sets.
Examples by program (your law controls, not this list):
If any permit or registration is suspended, revoked, or expires, you will stop selling right away and tell FOODI within 48 hours. FOODI does not verify permits and relies entirely on your confirmation.
Your documents are your responsibility. You alone must obtain, file, renew, and keep accurate every permit, registration, certificate, and inspection your law requires. FOODI is not responsible for any document that is expired, lapsed, suspended, revoked, incomplete, improperly filed, not filed, or never obtained, or for any fine, penalty, or shutdown that results. Keep copies of your documents and show them to any health or government agency that asks.
Annual re-confirmation. You will re-confirm this attestation at least once every 12 months. FOODI may pause your listings until you do.
You will follow all food safety laws for storage, preparation, temperature control, and packaging. Every menu item must list its ingredients and any major allergens (milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, sesame). Labels must include everything your law requires. If a customer reports illness or an allergic reaction, you will tell FOODI within 24 hours and cooperate with any health department inquiry.
Photos must show your own food. Descriptions, prices, and availability must be accurate. You keep ownership of your content and grant FOODI the license described in the Terms of Service to display and promote it. FOODI may adjust formatting and may remove listings that break this Agreement.
You must keep an active Stripe Connect account to receive payments. You appoint FOODI as your limited payment collection agent solely to accept customer payments on your behalf.
You are responsible for all taxes on your food sales and income, including any sales tax registration, collection, and filing your state requires. Stripe may issue you a Form 1099-K. FOODI does not give tax advice.
FOODI does not insure you or your food. FOODI strongly recommends that you carry general and product liability insurance that covers home food sales.
You arrange pickup or delivery directly with customers. FOODI provides no drivers and charges no delivery fees. You must follow your state's transport rules. You may refuse service to anyone who is abusive or makes you feel unsafe, and you should report that behavior to FOODI.
For 12 months after a customer first orders from you through FOODI, you will not move that customer's orders off FOODI to avoid the platform fee.
You will defend, indemnify, and hold harmless FOODI and its members, officers, and agents from all claims, damages, losses, fines, and costs (including reasonable attorneys' fees) arising from your food, your permits or lack of them, your taxes, your conduct, or your breach of this Agreement. This includes foodborne illness and allergic reactions.
Foodborne illness. FOODI is not responsible for any illness, injury, allergic reaction, or death caused by food you prepare, including from improper cooking, handling, storage, temperature control, labeling, packaging, or transport, or from selling without valid, current documentation. You accept full responsibility for those claims.
FOODI's total liability to you under this Agreement is limited to the platform fees you paid in the three months before the claim, or $100, whichever is greater.
You may stop listing at any time. Fulfill or refund any open orders first. FOODI may suspend or remove you at any time for breaking this Agreement, customer safety complaints, a lapse in your legal status, or any other reason in its reasonable discretion. Your final payout will be made after any refunds and chargebacks are settled. Sections 2, 6, 10, and 12 survive termination.
The governing law, informal resolution, arbitration, and class action waiver terms in the FOODI Terms of Service apply to this Agreement. FOODI may update this Agreement with notice in the app or by email; continuing to list after the update means you accept it.
